These Terms of Use are effective on 1st September 2010 for new registering users.

1. INTRODUCTION

A. Purpose. The mission of icancanu is to connect individuals who need help in the form of favour requests with individuals who can help. To achieve our mission, we make services available through our website to help you connect with other users and exchange information and ideas within a trusted network that you create and control. In order to facilitate interaction among all icancanu community members, our service therefore allows you limited access to other users' contact information.

B. Scope and Intent Please read these Terms of Use [ "Agreement" or "Terms of Use" ] carefully before using the services offered by icancanu. these Terms of Use sets forth the legally binding Terms and Conditions for your use of the website at http://www.icancanu.com [ the "Site" ] and the service owned and operated by icancanu Ltd [ collectively with the Site, the "Service" ]. By registering for and/ or using the Site or Service in any manner, including but not limited to visiting or browsing the site, you agree to be bound by these Terms of Use.these Terms of Use applies to all users of the Site or Service, including users who are also contributors of content, information, and other materials or services on the site. The Service is offered subject to acceptance without modification of all of the terms and conditions contained [ the "Terms of Use" ], which terms also incorporates icancanu's Privacy Policy, icancanu's Copyright Policy and all other operating rules, policies and procedures that may be published from time to time on the Site by icancanu, each of which is incorporated by reference and each of which may be updated by icancanu from time to time without notice to you. In addition, some services offered throughout the Service may be subject to additional terms and conditions promulgated by icancanu from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated in these Terms of Use by this reference.

C. Modification of Terms of Use We may amend the Terms of Use at any time by giving you notice ("Notice") by either e-mail in accordance with your Notification Preferences or by posting the amended Terms of Use on the Website. Any amended Terms of Use will govern new user registrations from the date that it is posted on the Site. Existing users will be bound by the amended Terms of Use after the expiry of 30 days following the date of a Notice. No other amendment to these Terms of Use will be effective.Your continued use of the Service following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

D. User Submissions "User Submissions" or " Your Information" is defined as any information you provide to us or other users in relation to the icancanu service including your registration details, media that you upload, favours that you post, comments that you make, messages that you send other users and any other content that you post within the Site. As explained within the Privacy Policy, the only information about you that is visible to all users on the internet by default is your name and profile photograph (if one is posted). All other information is by default not visible but can be controlled by you, the user, through your personal privacy settings. You are solely responsible for your "User Submissions", and we merely act as a conduit for your online distribution and publication of Your Information.

2. YOUR OBLIGATIONS

A. Applicable laws and these Terms of Use You must comply with all applicable laws within your jurisdiction, the Terms of Use, as may be amended from time to time with or without advance notice, and the policies and processes explained in the following sections.

B. License and warranty for your submissions to icancanu The Service provides you with the ability to add, create, upload, submit, distribute or post ("Submitting" or "Submission") content, videos, audio clips, written forum comments, data, text, photographs, software, scripts, graphics or other information to the Site (collectively, the "User Submissions" as described above). By submitting User Submissions to the Site or otherwise through the Service, you confirm that you own the information you provide icancanu and that you may be identified by your name ["User ID" ] in association with any such User Submissions. Under these Terms of Use you may request its deletion at any time, unless you have shared information or content with others and they have not deleted it, or it was copied or stored by other users. Additionally, you grant icancanu a non-exclusive, irrevocable, perpetual, unlimited, assignable, sublicenseable, fully paid up and royalty-free worldwide right to us to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, use and commercialize, in any way now known or in the future discovered, any information you provide, directly or indirectly to icancanu, including but not limited to any user generated content, ideas, concepts, techniques or data to the services, you submit to icancanu, without any further consent, notice and/or compensation to you or to any third parties. Any information you submit to us is at your own risk of loss. By providing information to us, you represent and warrant that you are entitled to submit the information and that the information is accurate, not confidential, and not in violation of any contractual restrictions or other third party rights. It is your responsibility to keep your icancanu profile information accurate and updated. You agree that the Service contains Content specifically provided by icancanu or its partners and that the Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed throughout the Service. Icancanu grants each user of the Site and/ or Service, a worldwide, non-exclusive, non-sublicensable and non-transferable license to use, modify and reproduce the Content, solely for personal, non-commercial use. Use, reproduction, modification, distribution or storage of any Content for other than personal, non-commercial use is expressly prohibited without prior written permission from icancanu, or from the copyright holder identified in such Content's copyright notice. You shall not sell, license, rent or otherwise use or exploit any Content for commercial use or in any way that violates any third party right. You understand that icancanu shall have the right to delete, edit, modify, reformat, excerpt, or translate any materials, content or information from which such content originated and that icancanu will not be liable for any errors or omissions in any content; and that icancanu cannot guarantee the identity of any other users with whom you may interact in the course of using the Service. Icancanu does not endorse and has no control over any User Submission. Icancanu cannot guarantee the authenticity of any data which users may provide about themselves. You acknowledge that all Content accessed by you using the Service is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.

C. Membership Eligibility. Our services are not available to, and may not be used by, persons under the age of 18 years or to temporarily or indefinitely suspended icancanu members. If you are under 18 years old, you can use this service only in conjunction with and under the supervision of a parent or guardian. If you do not qualify, please do not use our services.

E. Indemnification You shall defend, indemnify, and hold harmless icancanu, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable solicitors' fees, that arise from or relate to your use or misuse of, or access to, the Site, Service, Content or otherwise from your User Submission, violation of the Terms of Use, or infringement by you, or any third party using our account, of any intellectual property or other right of any person or entity. icancanu reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with icancanu in asserting any available defences.

H. Mobile Services Icancanu may offer the Services through mobile applications created by it or third party developers (“Platform Developers”). If you use the Services through a mobile device, you agree that information about your use of the Services through your mobile device and carrier may be communicated to us, including but not limited to your mobile carrier, your mobile device, or your physical location. In addition, use of the Services through a mobile device may cause data to be displayed on and through your mobile device. By accessing the Services using a mobile device, you represent that to the extent you import any of your icancanu data to your mobile device that you have authority to share the transferred data with your mobile carrier or other access provider. In the event you change or deactivate your mobile account, you must promptly update your icancanu account information to ensure that your messages are not sent to the person that acquires your old number and failure to do so is your responsibility. You acknowledge you are responsible for all charges and necessary permissions related to accessing icancanu through your mobile access provider. Therefore, you should check with your provider to find out if the Services are available and the terms for these services for your specific mobile devices. Finally, by using any downloadable application to enable your use of the Services, you are explicitly confirming your acceptance of the terms of the End User License Agreement associated with the application provided at download or installation, or as may be updated from time to time.

I. User-to-User Communication and Sharing Icancanu enables sharing of information by allowing users to post updates, including links to news articles and other information to their profile and within their newsfeed. In order to facilitate interaction among all icancanu community members, our service allows you limited access to other users' contact information. Ideas you post and information you share may be seen and used by other Users, and icancanu cannot guarantee that other Users will not use the ideas and information that you share on icancanu. Therefore, if you have an idea or information that you would like to on icancanu keep confidential and/or don’t want others to use, or that is subject to third party rights that may be infringed by your sharing it, do not post it on icancanu. icancanu IS NOT RESPONSIBLE FOR A USER’S MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION YOU POST IN ANY ICANCANU COMMUNITY FORUMS.

J. Privacy You should carefully read our full Privacy Policy before deciding to become a User as it governs our treatment of any information, including personally identifiable information you submit to us. Please note that certain information, statements, data and content (such as photographs) which you may submit to icancanu, or groups you choose to join might, or are likely to, reveal your gender, ethnic origin, nationality, age, religion and/or sexual orientation, and/or other personal information about you. You acknowledge that your submission of any information, statements, data, and content to us is voluntary on your part.

K. Icancanu is Only a Favour Exchange Platform Icancanu acts as platform that allows registered users to exchange favours. Icancanu is not liable for any of the content of any favours, offers, comments, chats or messages posted in the icancanu website. We do not review the listings provided by users, we never possess the items offered through the Site and we are not involved in transactions between users. We will however remove listings that otherwise are deemed, illegal or offensive. We may also temporarily or permanently remove a user from the Site if they continue to abuse the terms of these Terms of Use. We are not responsible for ensuring that users actually complete a transaction. You accept sole responsibility for the legality of your actions under laws apply to you.

L. Identity verification Icancanu cannot and does not confirm the purported identity of users or the validity of the information which users post to the Site. It is recommended that you deal with close personal 'friends' and trusted social networks for the bulk of your transactions particularly when disclosing sensitive or private information. Our icancanu feedback rating system will also help you to evaluate the user with whom you are dealing. We encourage you to communicate with potential trading partners using the tools available on the Site.

M. Icancanu Feedback You must not take any actions that may undermine the integrity of the icancanu feedback system. Any abuse of the feedback system that comes to the attention of icancanu may result in the suspension of your rights to list and/ or respond to favours. Icancanu does not allow you to import feedback from other websites to icancanu because such feedback does not reflect your reputation within the icancanu community.

N. Liability In the event that you have any right, claim or action against any other user arising from that user's use of the Site, you agree to pursue such right, claim or action independently of and without recourse to us, and you release icancanu from all claims, liability, damage, losses, costs and expenses including legal fees, known and unknown, arising from or in any way connected with such right, claim or action.

O. Information Control We do not control the information provided by other users which is made available through the Site. You may find other user's information to be offensive, harmful, inaccurate or deceptive. Please use caution, common sense, and practice safe trading when using the Site. Please note that there are risks in dealing with underage persons or persons acting under false pretences. By using this Site, you agree to accept such risks and agree that icancanu is not responsible for the acts or omissions of users on the Site. Icancanu does not guarantee that any Content or User Submissions will be made available on the Site or throughout the Service. Icancanu has no obligation to monitor the Site, Service, Content, or User Submissions. However, icancanu reserves the tight to (i) remove, edit or modify any Content in its sole discretion, including without limitation any User Submissions, from the Site or Service at any time, without notice to you and for any reason [ including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if icancanu is concerned that you may have violated the Terms of Use ], or for no reason at all and (ii) to remove or block any User Submissions from the Service.

P. Responding to Favours Depending on the favour and the time frame you may wish to wait until you get several offers. Also , in using the icancanu platform you have a moral obligation to complete a transaction that you have accepted to do. Nonetheless, icancanu provides users with the tools to communicate with each other to work out terms and alternative plans if necessary. The purpose of icancanu is not to enforce transactions but to promote goodwill amongst it's users.

Q. Posting Favours Do not post anything that is unlawful, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, or otherwise inappropriate as determined by icancanu. Icancanu recommends that you review your privacy settings as and when favours are posted to ensure that the favour is only viewed by those recipients that you had intended. The default 'Post a favour' is visible to icancanu friends. Please use the advanced 'icancanu' settings to post directly to (i) icancanu friends; (ii) icancanu users with a defined rating; (iii) friends of friends; (iv) defined groups; (v) everyone.

R. Personal Identifiable Information By accepting these Terms of Use, you agree that, with respect to other users' personally identifiable information that you obtain throughout the Site or through an icancanu related communication or an icancanu facilitated transaction, you may only use such information for: (a) icancanu related communications that are not unsolicited commercial messages and relate to your genuine participation in an icancanu facilitated transaction; (b) using services offered through icancanu; (c) any other purpose that such user expressly agrees to after adequate disclosure of the purpose(s). In addition, you shall only use such information in accordance with applicable laws and regulation, including without limitation data protection and privacy laws. In all cases, you must give users an opportunity to remove themselves from your database and an opportunity to review what information you have collected about them. In addition, under no circumstances, except as defined in this Section, can you disclose personally identifiable information about another user to any third party without our consent and the consent of such other user after adequate disclosure.

3. YOUR RIGHTS

On the condition that you comply with all your obligations under these Terms of Use, we grant you a limited, revocable, nonexclusive, nonassignable, nonsublicenseable right to access, through a generally available web browser or mobile device or application (but not through scraping, spidering, crawling or other technology or software used to access data without the express written consent of icancanu), view information and use the Services that we provide on icancanu webpages and in accordance with these Terms of Use. Any other use of icancanu contrary to our mission and purpose (such as seeking to connect to someone you do not know or trust, or to use information gathered from icancanu commercially unless expressly authorised by icancanu) is strictly prohibited and a violation of these Terms of Use. We reserve all rights not expressly granted in these Terms of Use, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in icancanu and all related items.

4. OUR RIGHTS AND OBLIGATIONS

A. Services Availability For as long as icancanu continues to offer the Services, icancanu shall provide and seek to update, improve and expand the Services. As a result, we allow you to access icancanu as it may exist and be available on any given day and have no other obligations, except as expressly stated in these Terms of Use. We may modify, replace, refuse access to, suspend or discontinue icancanu, partially or entirely, or change and modify prices for all or part of the Services in our sole discretion. All of these changes shall be effective upon their posting on our site or by direct communication to you unless otherwise noted. icancanu further reserves the right to withhold, remove and or discard any content available as part of your account, with or without notice if deemed by icancanu to be contrary to these Terms of Use. For avoidance of doubt, icancanu has no obligation to store, maintain or provide you a copy of any content that you or other Users provide when using the Services.

B. Third Parties The Service may permit you to link to other websites or resources on the Internet, and other websites or resources may contain links o the Site. When you access third party websites, you do so at your own risk. These other websites are not under icancanu's control, and you acknowledge that icancanu is not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such websites or resources. The inclusion of any such link does not imply endorsement by icancanu or any association with its operators. You further acknowledge and agree that icancanu shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such Content, goods or services available on or through any such website or resource.

C. Disclosure of User Information You acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary in our opinion to: (i) comply with legal process, including but not limited to civil and criminal subpoenas, court orders or other compulsory disclosures; (ii) enforce these Terms of Use; (iii) respond to claims of a violation of the rights of third parties, whether or not the third party is a User, individual, or government agency; (iv) respond to customer service inquiries; or (v) protect the rights, property, or personal safety of icancanu, our Users or the public.

D. Connections and Interactions with other Users You are solely responsible for your interactions with other Users. icancanu may limit the number of connections you may have to other Users and may, in certain circumstances, prohibit you from contacting other Users through use of the Services or otherwise limit your use of the Services. icancanu reserves the right, but has no obligation, to monitor disputes between you and other members and to restrict, suspend, or close your account if icancanu determines, in our sole discretion, that doing so is necessary to enforce these Terms of Use.

5. GENERAL TERMS

A. Governing Law and Legal Compliance These Terms of Use shall be governed by and construed in accordance with English law and subject to the exclusive jurisdiction of the English courts. Please note, that your country (and/ or that of any user you deal with) may have laws which apply to your transactions with other users regardless of what you agree with us (now) or with that user (later). The laws of your country may be different from English law, including laws governing what can be legally offered. There may be additional legal requirements. You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding the user of our service. There is no practical way for us to continually monitor the laws of every country, or each user transaction. Please do not assume that you are allowed to do what other users do, or that we are approving or validating any transaction, even if you have successfully made similar transactions in the past.

B. Severability f any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforceable. You agree that these Terms of Use and all incorporated agreements may be automatically assigned by icancanu, in our sole discretion, to a third party in the event of a merger or acquisition or any other event. You and icancanu are independent contractors, and no agency, partnership, joint venture, employee-employer or frachisor-franchisee relationship is intended or created by these Terms of Use. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

D. Entire Agreement You agree that these Terms of Use constitutes the entire, complete and exclusive agreement between you and us regarding the Services and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms of Use. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other icancanu services, third-party content or third party software.

E. Amendments to these Terms of Use We reserve the right to modify, supplement or replace the terms of the Agreement, effective upon posting at www.icancanu.com or notifying you otherwise. If you do not want to agree to changes to these Terms of Use, you can terminate the Agreement at any time per Section 7 (Termination).

F. No informal waivers, agreements or representations Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. These Terms of Use set forth the entire understanding and Agreement between us with respect to its subject matter. No oral explanation or oral information given by any party shall alter the interpretation of these Terms of Use.

6. RULES OF CONDUCT

By way of example, and not as a limitation, you shall not (and shall not permit any third party) to either (a) take any action or (b) upload, download, post, submit or otherwise distribute or (c) facilitate distribution of any Content on or through the Service, including without limitation any User Submission, that;

1. infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity or violates any law or contractual duty;
2. you know is false, misleading, untruthful or inaccurate;
3. is unlawful, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, or otherwise inappropriate as determined by icancanu in its sole discretions;
4. constitutes unauthorised or unsolicited advertising, junk or bulk e-mailing [ "spamming" ];
5. involves commercial activities and/ or sales without icancanu's prior written consent such as contests, sweepstakes, advertising, or pyramid schemes;
6. contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorised access to any system, data, password or other information of icancanu or any third party;
7. impersonates any person or entity, including any employee or representative of icancanu;
8. act dishonestly or unprofessionally by engaging in unprofessional behaviour by posting inappropriate, inaccurate, or objectionable content to icancanu;
9. include information in your profile or elsewhere, except in designated fields, that reveals your identity or sensitive personal information such as an email address, phone number or address or is confidential in nature;
10. create a user profile for anyone other than a natural person;
11. use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” any web pages or other services contained in the site;
12. access, via automated or manual means or processes, icancanu for purposes of monitoring its availability, performance or functionality or for any competitive purpose;
13. engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of icancanu’s website;
14. share information of non-Users without their express consent;
15. take any action that imposes or may impose (as determined by icancanu in its sole discretion) an unreasonable disproportionately large load on icancanu's (or its third party providers') infrastructure;
16. interfere or attempt to interfere with the proper working of the Service or any activities conducted on the Service;
17. bypass any measures icancanu may use to prevent or restrict access to the Service [ or other accounts, computer systems or networks connected to the Service ];
18. decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the limited extent applicable laws specifically prohibit such restriction;or
19. modify, translate, or otherwise create derivative works of any part of the Service.

7. TERMINATION

A. Mutual rights of termination Icancanu may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your membership. If you wish to terminate your account, you may do so by following the instructions on the Site.. Any fees paid hereunder are non-refundable. All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership, provisions, warranty disclaimers, indemnity and limitations of liability.

B. Misuse of the Services icancanu may restrict, suspend or terminate the account of any User who abuses or misuses the Services. Misuse of the Services includes inviting other Users whom you do not know to connect; abusing the icancanu messaging services; creating multiple or false profiles; using the Services commercially without icancanu's authorisation, infringing any intellectual property rights, breach of the Terms of Use; if, despite our reasonable endeavours, we are unlikely to verify or authenticate any information you provide to us; if we believe that your actions may cause us financial loss or legal liability or any the behaviour that icancanu, in its sole discretion, deems contrary to its purpose.

8. WARRANTY DISCLAIMER

SOME COUNTRIES AND JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED TERMS IN CONTRACTS WITH CONSUMERS AND AS A RESULT THE CONTENTS OF THIS SECTION MAY NOT APPLY TO YOU. DO NOT RELY ON ICANCANU, ANY INFORMATION THEREIN, OR ITS CONTINUATION. WE PROVIDE THE PLATFORM FOR ICANCANU AND ALL INFORMATION AND SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DO NOT PROVIDE ANY EXPRESS WARRANTIES OR REPRESENTATIONS. ICANCANU IS NOT RESPONSIBLE, AND MAKES NO REPRESENTATIONS OR WARRANTIES FOR THE DELIVERY OF ANY MESSAGES (SUCH AS EMAILS, COMMENTS, CHATS, POSTING OF FAVOURS OR TRANSMISSION OF ANY OTHER USER GENERATED CONTENT) SENT THROUGH ICANCANU TO ANYONE. IN ADDITION, WE NEITHER WARRANT NOR REPRESENT THAT YOUR USE OF THE SERVICE WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES. ANY MATERIAL, SERVICE, OR TECHNOLOGY DESCRIBED OR USED ON THE WEBSITE MAY BE SUBJECT TO INTELLECTUAL PROPERTY RIGHTS OWNED BY THIRD PARTIES WHO HAVE LICENSED SUCH MATERIAL TO US, SERVICE, OR TECHNOLOGY. ICANCANU DOES NOT HAVE ANY OBLIGATION TO VERIFY THE IDENTITY OF THE PERSONS SUBSCRIBING TO ITS SERVICES, NOR DOES IT HAVE ANY OBLIGATION TO MONITOR THE USE OF ITS SERVICES BY OTHER USERS OF THE COMMUNITY; THEREFORE, ICANCANU DISCLAIMS ALL LIABILITY FOR IDENTITY THEFT OR ANY OTHER MISUSE OF YOUR IDENTITY OR INFORMATION. ICANCANU DOES NOT GUARANTEE THAT THE SERVICES IT PROVIDES WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS IN FUNCTIONING. IN PARTICULAR, THE OPERATION OF THE SERVICES MAY BE INTERRUPTED DUE TO MAINTENANCE, UPDATES, OR SYSTEM OR NETWORK FAILURES. ICANCANU DISCLAIMS ALL LIABILITY FOR DAMAGES CAUSED BY ANY SUCH INTERRUPTION OR ERRORS IN FUNCTIONING. FURTHERMORE, ICANCANU DISCLAIMS ALL LIABILITY FOR ANY MALFUNCTIONING, IMPOSSIBILITY OF ACCESS, OR POOR USE CONDITIONS OF THE ICANCANU SITE DUE TO INAPPROPRIATE EQUIPMENT, DISTURBANCES RELATED TO INTERNET SERVICE PROVIDERS, TO THE SATURATION OF THE INTERNET NETWORK, AND FOR ANY OTHER REASON.

9. LIMITATION OF LIABILITY

ICANCANU DOES NOT EXCLUDE OR LIMIT IN ANY WAY ITS LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION OR DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE. SUBJECT TO THE FOREGOING, ICANCANU WILL NOT BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE; (i) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING), (II) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION), OR (III) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) ONE HUNDRED U.S. DOLLARS (＄100.00). SOME COUNTRIES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY IN CONTRACTS WITH CONSUMERS AND AS A RESULT THE CONTENTS OF THIS SECTION MAY NOT APPLY TO YOU. Icancanu also has no liability of any sort (including liability for negligence) for the acts or omissions of other providers of telecommunications services or for faults in or failures of their networks and equipment.

10. MISCELLANEOUS

Icancanu shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond icancanu's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference). The Terms of Use are personal to you, and are not assignable, transferable or sublicensable by you except with icancanu's prior written consent. Icancanu may assign, transfer or delegate any of its rights an obligations hereunder without consent. No agency, partnership, joint venture, or employment relationship is created as a result of the Terms of Use and neither party has any authority of any kind to bind the other in any respect. All notices under the Terms of Use will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or register mail, return receipt requested; when receipt is electronically confirmed, if transmitted by email; or the day after it is sent, if sent for the next day delivery by a recognised overnight delivery service.
